EveryAILaw Data License

This is the canonical text governing reuse of the EveryAILaw corpus. Source code and methodology are separately licensed; see the repository LICENSE.

This license governs the structured corpus published by EveryAILaw™. "Structured Corpus" means machine-readable collection of text or audio data organized with specific tags, metadata, and annotations. It does not govern the repository's source code, build scripts, or compilation methodology, which remain proprietary under the EveryAILaw license (the "License") and are not licensed for reuse.

1. Definitions

"The Data" means the structured content published by EveryAILaw. The Data is the compiled, curated corpus — not the Underlying Legal Text and not the Open Schema. This includes but is not limited to the populated obligation, provision, instrument, authority, jurisdiction, exclusion, and evidence records; the editorial selection of what is included and excluded; the currency and verification of those records; the JSON API responses; and the data feeds (RSS, ICS, llms.txt, agents.json, and MCP responses).

"Underlying Legal Text" means statutes, regulations, decrees, and official documents reproduced in raw/. These are government works. PAICE claims no proprietary right in these statutes, decrees, legal opinions, or regulations, and this license neither enables nor restricts their use.

"Open Schema" means the Obligation First ontology, vocabulary, schema files, and reference material, published separately and licensed under Creative Commons Attribution 4.0 International (CC BY 4.0). The Open Schema is the format in which the Data is expressed. It is not the Data itself. This license does not restrict the Open Schema, and the CC BY 4.0 license of the Open Schema confers no right in the Data.

"You" means the individual or entity exercising rights under this license.

"Your Organization" means You and any entity that controls, is controlled by, or is under common control with You (control meaning more than 50% ownership or voting power), together with Your and their employees and contractors acting for internal purposes.

"Third Party" means any person or entity other than You and Your Organization.

"Product or Service" means any offering, paid or unpaid, that You make available to a Third Party.

"Free Endpoint" means the public, unauthenticated access to the Data, including the website, the public JSON API, the data feeds, and the public MCP endpoint. The Free Endpoint is "best effort" and provides no guarantees. It may be updated infrequently, carries no service level or technical support, and may be changed or withdrawn at any time without notice.

"Licensed Endpoint" means authenticated access to the Data provided under a Commercial Agreement.

"Commercial Agreement" means a separate written agreement between You and PAICE governing the Licensed Endpoint and/or commercial redistribution, including its commercial terms (price, service levels, usage restrictions, support, user restrictions, term, and audit).

"Substantial Part" means a portion of the Data that is significant when evaluated qualitatively or quantitatively. Repeated or systematic extraction of insubstantial parts that cumulatively amounts to a Substantial Part is treated as extraction of a Substantial Part.

2. Permitted Use — free, via the Free Endpoint, no permission required

Through the Free Endpoint, You may, at no charge and without notifying or obtaining permission from PAICE:

  1. View, search, and read the Data.
  2. Query the Data by any means, including programmatically, by automated agents, and by large language models, and use the results to answer an end user's question — including within an AI assistant or agent workflow — provided such access is through the Free Endpoint and is not a production or commercial dependency requiring the assurances of Section 6 hereof, which governs stability and changes. Such querying and answering is permitted use, not Redistribution.
  3. Cache and index the Data transiently as reasonably necessary to support permitted use.
  4. Quote, cite, screenshot, and excerpt the Data, including in research, journalism and creative endeavors, filings, advisory work, and commercial deliverables, with attribution as described in Section 4.
  5. Build tools, dashboards, agents, and workflows that consume the Data for use within Your Organization, including for commercial purposes, where the Data is not made available to any Third Party.
  6. Use, reproduce, and redistribute the Underlying Legal Text without restriction.

Production or commercial dependence on the Data — anything requiring service levels, stability, or support — is not provided through the Free Endpoint and requires a Commercial Agreement (as further described in Section 3 and Section 6).

3. License Required — commercial redistribution and embedding

A Commercial Agreement with PAICE is required before You:

  1. Redistribute the Data, or a Substantial Part of the Data, to any Third Party, whether verbatim, reformatted, translated, or transformed, and whether as a dataset, file, API, feed, or software connector.
  2. Incorporate the Data into a Product or Service, where access to or the value of the Data is part of what is provided to a Third Party.
  3. Resell, sublicense, white-label, or otherwise provide access to the Data to a Third Party.
  4. Systematically extract or replicate a Substantial Part of the Data so as to reproduce or stand in for the Data, whether as a placeholder, proxy, or summary when the actual information is unavailable or restricted.
  5. Access the Data through a Licensed Endpoint.

De minimis quotation, citation, and excerpting under Section 2(d) is never Redistribution and does not typically require a license. The boundary is the systematic provision of the Data to Third Parties as substrate of an offering — not an agent reading the Data or answering with it through the Free Endpoint.

Format is not content. The Data is expressed in the Open Schema. The CC BY 4.0 license of the Open Schema covers the schema, vocabulary, and reference material only. Expressing the Data in the Open Schema does not place the Data under CC BY 4.0, and nothing in the Open Schema license grants any right to extract, redistribute, or commercially reuse the Data. Schema, ontology, and vocabulary files distributed in the EveryAILaw repository that form part of the Open Schema (including ontology serialization files) are governed by CC BY 4.0; the populated corpus rendered in that schema is governed by this License.

Commercial terms — price, service levels, support, term, and audit rights — are set in the Commercial Agreement, not in this license. Contact https://paice.work/contact/.

4. Attribution

Where the Data is surfaced to a person, for example, by presenting data, provide reasonable attribution: "Source: EveryAILaw (https://everyailaw.com/)".

For programmatic, agent, or machine-readable use where a person does not directly see the output, attribution is satisfied by retaining the source identifier returned with the Data (the source / attribution field in API and MCP responses, or a source: EveryAILaw entry in machine-readable provenance such as agents.json or response metadata).

Attribution is not required for transient internal querying or for de minimis citation that already identifies EveryAILaw as the source.

5. AI and machine-learning training

This section states PAICE's position; the realistic reach of a training restriction is jurisdiction-dependent and evolving.

  1. Transient retrieval — querying the Data at inference time via the Free Endpoint to ground or augment a model's answer (RAG) — is permitted use under Section 2.
  2. Incorporating the Data, or a Substantial Part of it, into the training or fine-tuning corpus of a machine-learning model, or distributing or making available a model that reproduces a Substantial Part of the Data, requires a Commercial Agreement.
  3. This section restricts the compiled Data only. It does not restrict training on the Underlying Legal Text obtained from its sources.

6. Stability and changes

The Free Endpoint and this license are provided on a "best-effort basis," without guarantees, issue-resolution support, or dedicated ticketing. The Data, the Free Endpoint, and this License may change or be withdrawn without notice. Where this license is versioned, Free Endpoint use is governed by the version current at the time of use; prior versions remain in the repository's git history.

Guaranteed stability — including stability of the Obligation-First bindings, a deprecation policy You may rely on in production, and service levels — is provided only under a Commercial Agreement. To the extent a Commercial Agreement conflicts with this License, the Commercial Agreement controls for the licensed party. The Licensed Party means the party granted the rights by the Licensor to use specific products or technology.

7. No warranty; not legal advice

THE DATA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. THE DATA IS A STRUCTURED REFERENCE, NOT LEGAL ADVICE, AND IS NOT A SUBSTITUTE FOR COUNSEL. SEE https://everyailaw.com/disclaimer.html.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAICE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE DATA OR THIS LICENSE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY. PAICE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE DATA OR THIS LICENSE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PAICE FOR ACCESS TO THE DATA IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) US $100.

9. Trademarks

"EveryAILaw" and "PAICE" are trademarks of PAICE, used in commerce and claimed under common law (™); no federal registration is asserted. The attribution use required by Section 4 is permitted. No other use of PAICE's trademarks is licensed, and nothing in this license implies endorsement, sponsorship, or affiliation by PAICE.

10. Enforcement

You acknowledge that unauthorized Redistribution or use requiring a license under Section 3 would cause PAICE irreparable harm for which monetary damages are an inadequate remedy, and that PAICE is entitled to seek injunctive relief without the necessity of posting a bond, in addition to any other remedy at law or equity. Audit rights and liquidated damages, where applicable, are set in the Commercial Agreement.

11. Termination

Rights under Section 2 continue while You comply with this license. Use requiring a license under Section 3 without a Commercial Agreement is unlicensed and infringing. Sections 7, 8, 9, 10, and 12 survive termination.

12. General

  1. Governing law. This license is governed by the laws of the State of Delaware, USA, excluding its conflict of laws principles. The state and federal courts located in Delaware have exclusive jurisdiction, and You consent to that venue and jurisdiction.
  2. Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary to be enforceable, or if it cannot be, it is severed, and the remainder of the license remains in full force and effect.
  3. Entire agreement. This license, together with any Commercial Agreement between You and PAICE, is the entire agreement regarding the Data and supersedes prior understandings on that subject.
  4. Assignment. Paice shall have the right, in its sole discretion, to assign this Agreement, in whole or in part, or any of its rights or obligations hereunder, to any third party without Your prior written consent. You shall not assign this Agreement or any of its rights or obligations hereunder without the prior written consent of Paice. Subject to any restrictions herein, the rights and obligations of shall be binding upon and benefit the successors, assigns, heirs, administrators and transferees both You and Paice.
  5. No waiver. PAICE's failure to enforce any provision is not a waiver of that or any other provision.
  6. Changes to this license. PAICE may publish new versions. Use of the Data is governed by the version current at the time of use.

13. Illustrative use; no waiver

PAICE may reproduce specific, individually selected records from the Data as examples in its own open projects, including the Obligation First project at https://obligationfirst.org/, under separate express permission. Such reproduction:

  1. is limited to the specific records actually reproduced and confers no right in any other part of the Data;
  2. is a bounded permission for illustration, not a public license, and does not place the Data, or any record other than those specifically reproduced, under Creative Commons, Apache, or any other open license;
  3. creates no inference, presumption, or argument that the Data is openly licensed. The appearance of selected records as examples in an open project does not make the Data CC BY 4.0 or otherwise open. Unless a specific record is reproduced as an Obligation First example under such express permission, there is no basis to infer or argue that it, or any other part of the Data, is openly licensed. The Data remains licensed solely under this license;
  4. is not a waiver of, and does not prohibit PAICE from enforcing, this License as to any part of the Data.
